Training - Terms and Conditions

 

For all training services delivered by M. J. Anniss Ltd

 

Provision of Training Services -top 

  • These terms and conditions shall apply to all services delivered by M. J. Anniss Ltd

  • Only those services ordered by the customer and specified in the quotation will be performed.

  • All services shall be performed in a professional and workmanlike manner.

  • Reasonable efforts will be made to perform the services within an agreed schedule, but no liability will be held for failure to meet such a schedule.

  • If a change is requested to the agreed service or charges, the right is reserved to re-quote.

Charges & Payment -top

  • Charges quoted are valid for thirty days from the date of the quotation. Appropriate travel, accommodation, materials and subsistence will be billed in addition as agreed with the client.

  • Charges may be billed as a single payment, specified time payment or partial completion payment for each assignment at the option of M. J. Anniss Ltd.

  • In the event that additional costs are incurred as a result of delays caused by any act or omission of the client, reasonable additional charges may be added to the amounts invoiced.

Client’s Responsibilities -top

  • The client acknowledges that the value of services provided hereunder is dependent upon their full and timely co-operation as well as the accuracy and completeness of any information provided.

Confidential Information -top

  • Each party shall protect against unauthorised disclosure of the information of the other party which is clearly designated in writing as confidential, by using the same degree of care as it takes to preserve and protect its own confidential information of a similar nature.

  • Neither party shall be required to treat as confidential any information, which is already in its possession, or becomes publicly available, is independently developed by it, or is lawfully obtained from third parties without restriction of disclosure.

Rights In Data -top

  • M. J. Anniss Ltd documentation, educational materials and other written information in any form, including electronic, provided in connection with the delivery of professional services assignments, is provided for the sole use of the recipient organisation and may not be copied or reproduced in any form without our prior written consent.

  • The product of all work carried out during the provision of the services, including documentation and other written information in any form, including electronic, shall be the property of both parties, unless otherwise specified in the contract.

Warranty & Liability -top

  • No liability shall be held to the customer for any direct or indirect damages, however based.

  • Due to the nature of the services to be performed, no warranty of any kind, for the services performed hereunder, is made.

Termination -top

  • The client may terminate the request for / performance of training services for any reason with five days written notice.

  • Upon termination the client shall pay for all services performed and costs incurred up to the date of termination. In addition the right is reserved to charge the customer an administration fee of up to 10% of the agreed contract price. No such additional fee is, however, due by the customer in the event that the customer terminates the service by reason of our defaulting on our obligations hereunder.

 Miscellaneous -top

  • M. J. Anniss Ltd reserves the right to provide the same or a similar service to other clients.

  • Clients may not assign rights and obligations without our written consent.

  • These terms and conditions constitute the entire understanding between the client and M. J. Anniss Ltd relating to services performed hereunder and supersede all prior representations, proposals or communications whether written or oral.

  • Any dispute arising in connection with the services provided hereunder shall be in all respects governed by and construed in accordance with the laws of Scotland and the courts of Scotland shall have jurisdiction.
